Capital Law advises FMS shareholders on sale to Tendra Technical Services
Capital Law has advised the shareholders of FMS Integrated Building Services Limited on the sale of the business to Tendra Technical Services (backed by Triton Partners).
Established in 2003 and headquartered in Coleshill, Birmingham, FMS is a multi-disciplinary facilities management provider. The business delivers planned preventative maintenance, reactive maintenance and HVAC installation services to public and private sector clients, including organisations operating in the healthcare and education sectors.
The transaction represents an important milestone for FMS and its shareholders, providing the business with access to the resources and wider platform required to support its next phase of growth while maintaining its focus on technical quality, customer service, and long-term client relationships.
Capital Law advised the sellers throughout the transaction, supporting them on the transaction structure, due diligence process and negotiation of the transaction documents.
The company was advised by Capital’s Corporate and Private Equity team, led by Angelina Drljaca-Chandler and supported by Alex Prothero and Benjamin Liebenberg, alongside specialists from across the firm. Anesi Advisors, an investment bank specialising in exits and growth capital also advised the sellers on the deal.
Angelina Drljaca-Chandler, Partner in the Corporate & Private Equity team at Capital Law, said:
