Alongside M&A, private equity and venture capital, we have a busy corporate advisory function – we regularly advise on joint venture transactions, corporate reorganisations and demergers.
Joint ventures are often complex, and our team is known for its expertise and commercial approach to implement the right structure to balance all parties’ goals.
We take a collaborative approach when it comes to reorganisations and demergers, working with tax advisors to find the optimum structure for our client’s end goal. Whether it’s to de-risk or prepare for an acquisition or disposal, our team will work with our specialists to look at the big picture, giving consideration to potential investors, funders or purchasers within the relevant legal and regulatory framework.
Corporate governance is essential for any business and our team of lawyers assists companies of all sizes with their governance on an on-going basis.
We work with boards to ensure they are meeting their legal requirements and regularly provide training on directors’ duties and best practice. We work with companies and shareholders to ensure appropriate protection is in place via shareholders’ agreements, articles of association and other governance documentation.
