Advising MPCT’s shareholders on acquisition by Learning Curve Group

One of the UK’s largest independent learning providers, Motivational Preparation College for Training (MPCT), has been acquired by Learning Curve Group (LCG).

Capital Law’s corporate team (comprising Angelina Drljaca-Chandler, Cath Golledge and Hakeem Din) advised MPCT’s shareholders on the deal, alongside Gambit Corporate Finance’s team (led by Geraint Rowe, Simon Marsden and Michel Dunn).

MPCT is the largest provider of traineeships in Wales and is the 7th largest independent training provider on the UK Government’s Education and Skills Funding Agency contract. Founded by Huw Lewis 22 years ago, the business has received a significant number of accolades, including winning the Times Educational Supplement ‘Training Provider of the Year’, achieving 13th position in the prestigious Sunday Times ‘Top 100 Companies to Work For’ list, as well as achieving a Grade 1 Outstanding result in its most recent Ofsted inspection.

LCG is a leading UK training and education specialist and a portfolio company of pan-European mid-market private equity firm Agilitas. The acquisition of MPCT will add a further 30 locations and 180 employees to LCG’s operations across England and Wales, establishing the largest military training organisation outside of the Ministry of Defence.

Angelina Drljaca-Chandler, Partner at Capital Law, said:

Huw and his team have built an outstanding business over the last two decades, which helped thousands of school leavers gain invaluable skills for both military and civilian life. Bringing MPCT and LCG together sets foundation for great partnership and growth in this sector over the years to come.  It has been an absolute pleasure working with Huw and his senior leadership team on this transaction and we wish them all the best for the future.

Huw Lewis, CEO of MPCT, said:

Capital Law, based in Wales, has been very helpful in this process, and I strongly appreciate the expertise of Duncan Macintosh, Senior Partner and founder, Angelina Drljaca-Chandler, Partner, and Cath Golledge, Associate.  I was always informed of the best options for resolving any impending concerns by the team, while they worked tirelessly to ensure the best possible outcome on my behalf.  Their prompt responses, attention to detail, outstanding legal advice, and the time and effort they put in to achieve the desired results were greatly appreciated.
