Advising Energy Saving Lighting shareholders on a £19m investment

Berkshire-based Energy Saving Lighting (ESL) has secured £19m of equity and debt funding from Bestport Private Equity and ThinCats.

Gareth Williams-Davies and Lowri Roberts, from Capital Law’s Corporate team, advised ESL’s founder, Paul Daly, on the deal. Capital worked alongside John Cooper, as corporate finance adviser, on the sell-side of the transaction.

ESL designs, supplies, and installs LED solutions for the healthcare, local authority, education, and commercial sectors – enabling organisations to save both considerable amounts of CO2 and millions of pounds on their electricity bills.

ESL has grown more than 50% in each of the last two years. This investment will help the company grow even further as it continues to deliver energy saving benefits to both the public and private sectors.

Paul Daly, Founder and CEO of ESL, said:

I can’t recommend Capital Law enough if you are selling equity in your business.  The team led by Gareth Williams-Davies were thoroughly professional and were able to offer a commercially balanced view on all aspects of the transaction.

The breadth of skills within Capital Law allowed Gareth to bring in specialist colleagues when required and I could not have been represented better.  Gareth’s calm and experienced tone was a great advantage during some of the trickier negotiations and he was a significant factor in completing the transaction.

Gareth Williams-Davies, Senior Associate at Capital Law, said:

ESL is a fantastic example of a business combining profit and purpose, at the forefront of energy efficiency. With Bestport and ThinCats’ backing, they’re ideally positioned to deliver their next phase of growth, aligned with their long-standing commitment to supporting the green agenda. Paul and the team were a privilege to work with and it was pleasure advising on a landmark deal for the company.
