Insider name merger of Broomfield & Alexander and Baldwins as deal of the month

The merger of Welsh accountancy practice, Broomfield & Alexander and Baldwins, a Cogital Group company has been named as Insider Media’s deal of the month for April. Tom Kelleher, Partner and Laura Spendiff, Associate, of Capital Law’s Corporate team, acted for the owners of Broomfield & Alexander on the transaction.

Broomfield & Alexander has grown over a number of years both organically and through various strategic acquisitions of well-known South Wales firms – and we were instructed as their legal advisers on many of these deals. The business currently has a turnover of approximately £7.5million, and employs over 110 staff; it rebranded to trade as Baldwins on 15 April, and will be represented by offices in Cardiff, Swansea, Newport, Monmouth and Aberdare.

Baldwins currently employs 2,500 staff across 88 offices throughout the UK, and has a turnover of almost £200m.

Laura Spendiff, who took the lead on the transaction, said: ‘“It is always particularly satisfying working on deals where you know your client very well, as we know Seamus and his team, having worked with them on countless transactions over the years. This really is a fantastic result for a great local business and we’re looking forward to partnering with them on many more deals in the future as they go from strength to strength, supported by the wider Baldwins team.”

Ian Thomas, Managing Director at Broomfield & Alexander said:Teaming up with Baldwins was a huge step forward for the firm, and as owners and custodians of a practice that was over 100 years old, we were keen to ensure that all aspect of the process were professionally handled. The team at Capital Law advised us on the legal aspects of the transaction and worked well with the Baldwins legal team to ensure that everything was completed efficiently and on time.  Laura and Tom were hugely supportive and professional, and they, together with their property and employment colleagues, helped us ensure the complexities of a large transaction were managed professionally.”
